1. Agreement to Terms

By accessing, browsing, or using PrepEx in any way (the "Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service (the "Terms") and our Privacy Policy. This agreement is effective upon your first use of the Service. If you do not agree to these Terms, you must immediately discontinue use of the Service.

Your continued use of the Service constitutes ongoing acceptance of these Terms and any updates we may make to them.

2. Service Description

PrepEx provides AI-powered TOEFL preparation tools, including writing and speaking practice with automated scoring, reading and listening assessments, personalized feedback, learning analytics, and related educational content. Our AI systems are designed to help you improve your English proficiency and prepare for standardized tests.

3. Eligibility and Accounts

  • You must be at least 13 years old (or the minimum age in your jurisdiction) to use the Service.
  • You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.
  • You must provide accurate, current, and complete information during registration and keep it updated.
  • You may not share your account or allow others to access the Service using your credentials.
  • Notify us immediately at hello@prepex.ai if you suspect unauthorized access to your account.

4. Acceptable Use

You agree to use the Service responsibly and lawfully. You may not:

  • Misuse, disrupt, or interfere with the Service, servers, or networks.
  • Attempt to reverse engineer, decompile, or extract source code from the Service.
  • Copy, reproduce, distribute, or resell the Service or its content without authorization.
  • Upload content that is unlawful, defamatory, infringing, harmful, or violates the rights of others.
  • Use automated tools, bots, or scripts to access the Service without permission.
  • Circumvent security measures or access restrictions.
  • Use the Service for any purpose other than personal educational use.

5. User Content and License Grant

You retain ownership of the content you submit to the Service ("User Content"), including essays, spoken responses, and other materials.

By submitting User Content, you grant PrepEx a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, process, adapt, modify, publish, transmit, display, and distribute your User Content for the following purposes:

  • Operating, providing, and improving the Service.
  • Generating feedback, scores, and personalized recommendations for you.
  • Training, developing, testing, and enhancing our AI models, machine learning systems, and scoring algorithms.
  • Conducting research and analysis to improve educational outcomes.
  • Creating aggregated, anonymized, or de-identified data for analytics and benchmarking.

This license continues even after you stop using the Service, to the extent your User Content has been incorporated into our AI systems or aggregated datasets prior to termination.

You represent and warrant that you have all necessary rights to grant this license and that your User Content does not infringe any third-party rights.

6. AI-Generated Output

The Service uses artificial intelligence to provide feedback, scores, and recommendations. You acknowledge and agree that:

  • AI-generated scores and feedback are advisory and may not reflect official ETS TOEFL scoring.
  • AI output should be used as guidance for improvement, not as definitive assessments.
  • PrepEx does not guarantee the accuracy, completeness, or fitness of AI-generated output for any particular purpose.
  • AI systems may produce errors or inconsistencies, and results should be interpreted accordingly.

7. Billing and Subscriptions

Paid subscriptions are billed through Stripe at the prices displayed in the Service. By subscribing, you:

  • Authorize us to charge your payment method for the subscription fee and any applicable taxes.
  • Agree to automatic renewal at the end of each billing period until you cancel.
  • Understand that prices may change with reasonable notice.

Free tiers may have usage limits as described in the Service.

8. Cancellations and Refunds

You may cancel your subscription at any time through your account settings. Upon cancellation:

  • Your access to paid features continues until the end of your current billing period.
  • No refunds are provided for partial billing periods except as required by applicable law.
  • We may consider refund requests on a case-by-case basis in accordance with consumer protection laws.

9. Data and Privacy

Your use of the Service is governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Service, you consent to such processing and represent that all information you provide is accurate.

We use industry-standard security measures to protect your data, including encryption, access controls, and secure infrastructure. We process data using trusted third-party services including Supabase, Stripe, and AI service providers as described in our Privacy Policy.

10. Intellectual Property

The Service, including its software, design, content, features, AI models, and trademarks, is owned by PrepEx or its licensors and protected by intellectual property laws. No rights are granted except as expressly stated in these Terms.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for personal, non-commercial educational purposes.

11. Third-Party Services

The Service integrates with third-party providers (e.g., Supabase, Stripe, AI providers). Your use of these services is subject to their respective terms and privacy policies. We are not responsible for third-party content, services, or actions.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, PREPEX DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OF AI-GENERATED CONTENT.

We do not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PREPEX AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE.

Our total liability for any claims arising from these Terms or your use of the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

14. Indemnification

You agree to defend, indemnify, and hold harmless PrepEx and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any rights of another party.

15. Termination

We may suspend or terminate your access to the Service at any time, with or without cause or notice, including for violation of these Terms. Upon termination:

  • Your right to use the Service ceases immediately.
  • Provisions that by their nature should survive (including but not limited to Sections 5, 10, 12-14, 16, and 18) will remain in effect.
  • We are not liable for any termination of your access to the Service.

16. Dispute Resolution

Any dispute arising from these Terms or your use of the Service shall first be attempted to be resolved through informal negotiation by contacting us. If resolution is not reached within 30 days, either party may pursue formal resolution in accordance with Section 18.

17. Changes to Terms

We may modify these Terms at any time. We will post the updated Terms on this page with a revised "Last updated" date. For material changes, we will provide notice through the Service or by email. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service.

18. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region ("Hong Kong"), without regard to conflict of law principles. You irrevocably agree to submit to the exclusive jurisdiction of the courts of Hong Kong for any disputes arising from or relating to these Terms or your use of the Service.

You waive any objection to the venue of any action or proceeding in Hong Kong and agree not to plead or claim that such action or proceeding has been brought in an inconvenient forum.

19. General Provisions

  • Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and PrepEx regarding the Service.
  • Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
  • Waiver: Our failure to enforce any right or provision does not constitute a waiver.
  • Assignment: You may not assign these Terms without our consent. We may assign these Terms freely.
